RWE lifts its indirect stake in transmission operator Amprion to 55%, expanding into grid infrastructure.

RWE takes control position in Amprion

German utility RWE is raising its stake in compatriot transmission system operator Amprion and now holds an indirect majority. RWE has bought into M31 Beteiligungsgesellschaft mbH & Co. Energie KG, Amprion's majority shareholder, acquiring an indirect 35% interest in the operator through the move.

RWE already owned 20% of Amprion via RWE Alkaios Holding, a joint venture with Apollo Global Management, lifting its total indirect shareholding to 55%. Amprion's direct ownership structure is unchanged — M31 holds 74.9% and RWE Alkaios Holding the remaining 25.1% — and Amprion will continue to be accounted for as a pure at-equity investment by RWE.

"We are expanding RWE's portfolio into grid infrastructure. By increasing our stake in Amprion and providing additional funding for the expansion of Germany's transmission grid, we gain further attractive growth opportunities," said RWE CEO Markus Krebber. Amprion's status as an independent transmission operator is unaffected by the transaction, and RWE's commitment supports the operator's investment programme; Amprion plans to invest around EUR42bn ($47.7bn) to expand its grid by 2030 as part of its path to climate neutrality.
