NYK Takes Majority Voting Stake In LNG Investment Vehicle For 221 Million Dollars

Japanese shipping group NYK will invest 221 million dollars in Diamond Gas MidOcean and take 87.4 percent of its voting rights, deepening the company's exposure to upstream liquefied natural gas alongside its established position in LNG transport. NYK will subscribe for all 211,876,228 shares to be issued by the company through a third-party allotment, a transaction approved by its board on 30 July. Mitsubishi Corporation currently owns the entity outright.

Following the capital increase, Diamond Gas MidOcean is expected to become a specified subsidiary of NYK and to operate as a jointly owned company of the two Japanese groups. The 87.4 percent figure applies to the holding vehicle rather than directly to MidOcean Energy, and the size of NYK's resulting indirect interest in MidOcean Energy itself has not been disclosed. That distinction accounts for the apparent gap between the price and the vehicle's own balance sheet, which at the end of March 2026 showed total assets of 36.2 million dollars, net assets of 34.8 million dollars, share capital of 30.5 million dollars, no net sales and an annual profit of 1.84 million dollars.

The transaction is subject to competition law and other regulatory approvals and is scheduled to close between August and September 2026. NYK expects an immaterial effect on its consolidated results for the financial year ending 31 March 2027, which is consistent with a holding whose returns will accrue over the life of the underlying projects rather than in the current period.

Alongside the equity investment, NYK plans to establish a strategic partnership with MidOcean Energy covering the marine transportation of LNG. MidOcean Energy holds interests in the Gorgon, Pluto, Queensland Curtis, LNG Canada and Peru LNG projects, a portfolio spread across Australia, Canada and South America. Combining an equity position in the producing assets with the transport contracts that move their output is a structure Japanese shipping groups have used repeatedly, since it aligns the shipowner's returns with the project's rather than leaving them exposed to charter market cycles.

NYK already participates in the Wheatstone project in Western Australia, which has production capacity of up to 8.9 million tonnes per year, and Cameron LNG in Louisiana, whose three liquefaction trains have a combined capacity of 12 million tonnes per year. Founded in 1885 and headquartered in Tokyo, the group operates across liner shipping, logistics, automotive transport, dry bulk and energy transportation, and runs LNG-fuelled vessel and bunkering businesses. Diamond Gas MidOcean is a London-headquartered investment company established on 3 November 2023.
